Summary of Service

This is an electronic platform where prospective borrowers can submit loan applications and inquiries regarding real estate financing. Users may also browse informational materials, read educational content, participate in blogs or communication features that may be available from time to time, and take advantage of other features we may add. We refer to what we do on the Site as the “Service.”

We refer to anyone who uses the Site, even just to browse, as a “User.”

We refer to the images, text, and other content you see on the Site as “Content.” On some parts of the Site, Users can upload Content.

Acceptance of Terms; Changes in Terms

If you use the Site, even just to browse, you will be deemed to have consented to the terms of this Agreement. We may also ask you to indicate your consent more formally by checking a box or otherwise taking an affirmative action.

The Service is offered subject to acceptance of all of the terms and conditions contained in these Terms of Use and all other operating rules, policies, and procedures we may publish on the Site, which are incorporated by reference.

The Company may, at its sole discretion, modify or replace these Terms of Use by posting the updated terms on the Site. Unless otherwise indicated by the Company, any changes will become effective on a prospective basis from the date of posting. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

The Company reserves the right to change, suspend, or discontinue the Service or any of its features at any time for any reason. The Company may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

Eligibility

To use the Site you must be at least 18 years old and of legal age in your jurisdiction to form a binding contract. If you are not, you must stop using the Site.

We may, in our sole discretion, refuse to offer the Service to any person or entity and/or change our eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in those jurisdictions.

Relationship to Privacy Policy and Other Contracts

Our Privacy Policy is part of this Agreement.

In addition, we may ask that you agree to other terms and conditions depending on your use of the Site. For example, borrowers will sign loan applications and related documents in connection with financing. If the terms of those other agreements conflict with these Terms of Use, then the terms of those other agreements will prevail. Otherwise, these Terms of Use will remain in force.

Except for the documents referenced in the preceding paragraph, there are no agreements or understandings concerning your use of the Site that are not reflected in this Agreement.

Registration

You may browse the Site without registering, but as a condition of using certain aspects of the Service, you may be required to register and select a screen name (“User ID”) and password. You promise to provide accurate, complete, and updated registration information.

You shall not use as a User ID any name or term that:
(i) is the name of another person, with the intent to impersonate that person
(ii) is subject to any rights of another person without authorization
(iii) is offensive, vulgar, or obscene

The Company reserves the right to refuse registration or cancel a User ID.

You are solely responsible for activity that occurs on your account and for maintaining the confidentiality of your password. We will treat anyone who uses your credentials as “you” for all purposes. You will immediately notify the Company in writing at info@katycapitalinvestments.com of any unauthorized use of your account or security breach.

Electronic Delivery

You consent to receive from the Company all communications including notices, agreements, legally required disclosures, or other information electronically. The Company may provide electronic notices by posting them on the Site.

If you wish to withdraw consent to receive notices electronically, you must discontinue use of the Services.

Use of Site

You will use the Site only for its intended purpose, including submitting financing inquiries or applications and accessing related information. You will not use the Site for any unlawful or unauthorized purpose.

You are responsible for all of your activity in connection with the Service.

Code of Conduct

You will not:

Upload, email, or transmit Content that is unlawful, obscene, harmful, defamatory, or otherwise objectionable.

Disseminate materials that invade the privacy of others without consent.

Submit false, misleading, or inaccurate information.

Infringe copyrights, trademarks, patents, or other proprietary rights.

Transmit viruses or harmful code.

Use the Service to generate artificial traffic.

Use the Site in a way that disables or overburdens it.

Attempt to access materials not intentionally made available.

Use the Site to violate any law or regulation.

You shall not reverse engineer, copy, modify, or create derivative works of the Service.

You shall comply with all applicable local, state, and federal laws.

Our Right to Monitor and Terminate

We may monitor use of the Site, remove Content, restrict access, or take any action we deem necessary.

We reserve the right, with or without notice, to suspend or terminate your access if you breach these Terms.

Warning for Prospective Borrowers

There is no guaranty that you will qualify for financing through the Site. Approval decisions are made at our sole discretion based on underwriting criteria, project details, capital availability, and other internal factors.

Submission of an application does not guarantee approval, rate, terms, or funding.

We do not make lending decisions based on protected characteristics.

If you consent to receive SMS messages, we may contact you regarding:

• Appointment reminders
• Application updates
• Status notifications
• Requested information

Message frequency may vary. Message and data rates may apply.

You may opt in by submitting your information through our forms.

SMS consent and phone numbers will not be shared with third parties.

Tracking Visits and Use

The Company owns or has rights to all intellectual property associated with the Site, including branding, logos, design, text, and materials.

You have no ownership interest other than the limited right to use the Site in accordance with these Terms.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that the Service will be secure, uninterrupted, error free, or free of harmful components.

Use of the Site is at your own risk.

Limitation of Liability

IN NO EVENT SHALL KATY CAPITAL INVESTMENTS, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Total liability shall not exceed one hundred U.S. dollars ($100).

Indemnity

You agree to defend, indemnify, and hold harmless Katy Capital Investments, LLC and its affiliates from claims, liabilities, and expenses arising from your use of the Site or violation of these Terms.

Governing Law

This Agreement shall be governed by the laws of the State of Texas.

Mandatory Arbitration

Any dispute arising out of or relating to the Site or these Terms shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in Texas.

Arbitration shall be conducted on an individual basis only.

Miscellaneous

If any provision is held invalid, the remaining provisions remain enforceable.

Failure to enforce any provision does not waive our rights.
